Bankruptcy/Restructuring
Concentrating on corporate bankruptcy and out-of-court restructuring matters, with extensive experience representing distressed companies, creditors and acquirers of such companies, preference defendants, and other parties. Services include:
- Formulating and implementing out-of-court restructurings.
- Filing for bankruptcy protection under Chapter 7 or 11 and developing and effectuating an exit strategy.
- Filing proofs of claim and seeking payment of administrative expenses.
- Purchasing assets (including leases).
- Enforcing contractual rights.
- Reviewing fee applications.
- Acting as local counsel and conflicts counsel.
- Defending preference actions and other bankruptcy actions.
- Addressing intellectual property issues.
- Analyzing small business issues.
Bankruptcy/restructuring representations include:
- General bankruptcy counsel to (1) HydroGen, L.L.C., Terra Nostra Resources Corp., and PubliCARD, Inc., public companies that filed for bankruptcy protection in the U.S. Bankruptcy Court the Southern District of New York, and (2) Southampton Yen Restaurant Group, LLC, a private nightclub.
- Counsel to creditors on the official committees of unsecured creditors in Chemtura Corporation, Mark IV Industries, Inc., and The Wilkes Bashford Company.
- Counsel to Bank of America, as a plaintiff in bankruptcy litigation.
- Counsel to numerous preference defendants.
